Terms of Service

Agreement

These terms are the agreement between you and Onyx for use of the Onyx platform. By creating an account or using the Service you accept them. If you are agreeing on behalf of a business, you confirm you are authorised to bind that business.

The Service

Onyx is business software for trade contractors: quoting, scheduling, invoicing, customer messaging, phone calls, and related tools. We provide it on a subscription basis and improve it over time. We may change or withdraw individual features, and where a change is significant we will tell you in advance.

Your account

You are responsible for what happens under your account, including anything your team members do. Keep your password to yourself. Tell us promptly if you believe an account has been accessed by someone else. You must be 18 or over and use the Service for business purposes. Give us accurate account details and keep them current.

Your data stays yours

You own the information you put into Onyx: your customers, quotes, jobs, photos, and messages. We hold it to provide the Service, and we do not sell it. You can export or delete your data, and you can close your account at any time. How we handle it is described in the product privacy policy.

Using it responsibly

You agree not to:

• send unsolicited bulk messages, or contact people who have asked you not to;
• use the Service to break the law, including laws on marketing, privacy, and call recording;
• upload malicious code, or attempt to breach, overload, or probe the Service or its other users;
• resell or rebrand the Service without our written agreement.

Onyx can record and transcribe phone calls. Where this is enabled, an announcement is played to both parties at the start of the call. You are responsible for using recording lawfully in the states and countries you operate in.

Messaging and calls

Messages and calls you send through Onyx are sent in your name, to recipients you choose. You are the sender for the purposes of marketing and telecommunications law, and you are responsible for having a lawful basis to contact each person and for honouring opt-outs.

Payment and billing

Subscription fees are charged in advance for the billing period you select. Where a free trial is offered, billing begins when the trial ends unless you cancel before then. You can cancel at any time. Cancellation takes effect at the end of the paid period, and access continues until then. Fees already paid are not refundable except where the law requires it. We will give at least 30 days’ notice before any price change affecting you.

Payments you take from your own customers through Onyx are between you and them. We pass them to your payment provider and do not hold your customers’ money.

Availability

We work to keep Onyx available and reliable, but we do not promise uninterrupted service. Maintenance, third-party outages, and faults happen. We keep backups and aim to restore service quickly.

Ending the agreement

You can close your account at any time from Settings → Billing. Closing cancels your subscription immediately and signs everyone out.

We may suspend or close an account that breaches these terms, that we are legally required to close, or that goes unpaid after we have asked. Except where the law or an investigation requires otherwise, we will give you a reasonable opportunity to export your data first.

Liability

Nothing in these terms limits rights you have under the Australian Consumer Law or other laws that cannot be excluded. Subject to that: Onyx is provided as it is; we are not liable for indirect or consequential loss, including lost profits or lost business; and our total liability in any twelve-month period is limited to the fees you paid us in that period.

Changes to these terms

We may update these terms. If a change materially affects your rights we will give notice before it takes effect, by email or in the app. Continuing to use Onyx after that means you accept the updated terms.

Governing law

These terms are governed by the laws of Australia.
