The Onyx partner programme: how commission is earned, when it is paid, and what happens when things change.

How a referral is attributed
You get a referral link. When someone follows it, the click is counted and their browser remembers your code for 90 days. If they sign up in that window, the referral is yours.
First touch wins. If someone arrives through your link and later through another partner’s, the referral stays with you. Referral codes are matched without regard to capitalisation, so ?ref=Name and ?ref=name are the same partner.
What you earn, and what you do not
You earn half of what we make from every customer you refer (50% of the revenue Onyx has actually collected from them), recurring for as long as that customer remains subscribed and paying.
Three things earn nothing, and it is better to say so here than to explain it later:
- Waitlist signups. Someone joining the list is not revenue.
- Free trials. A trial becomes commissionable when it converts and the first payment is collected.
- Accounts we do not bill. Some accounts are exempt from subscription charges. There is nothing collected, so there is nothing to share.
Commission is calculated fresh each time it is shown, from money actually collected, never stored and re-displayed. That means the figure on your partner page is current, and it moves if a customer upgrades, downgrades or leaves. Fractional cents are rounded down.
Refunds and chargebacks
Commission is paid on money Onyx has collected and kept. If a payment is later refunded or charged back, the related commission is reversed and deducted from your next payment. If no further payment is due, we may ask you to repay it.
Getting paid
Commission is paid monthly in arrears. There is no minimum balance and nothing is held back: whatever you earned in a month is paid the following month, however small.
You are responsible for your own tax. If you are registered for GST, tell us and invoice accordingly. Payments are made in Australian dollars to the account you nominate; any transfer or currency conversion fees are yours.
What you can see about referred customers
Your partner page shows business names and subscription status, so you can check your commission is right.
It never shows a referred customer’s name, email address or phone number. You are owed an honest count and your commission, not our customers’ contact details. This is not negotiable, and it protects you as much as them.
How you may promote Onyx
Talk about Onyx honestly. Specifically, you agree not to:
- send unsolicited bulk email or SMS to promote your link, or breach the Spam Act;
- bid on “Onyx” or close variants in paid search, or run ads that appear to come from us;
- claim to be Onyx, or to speak for Onyx, or promise features or prices we have not published;
- refer accounts you control yourself, or sign up through your own link.
You may use the Onyx name and logo to point at us. You may not modify the logo or use it in a way that suggests we endorse your other products.
Ending the partnership
Either of us can end this at any time, for any reason, by saying so in writing.
Commission stops accruing on the date it ends. Anything you have already earned is paid in the next normal cycle, subject only to any reversal for refunds. Referrals made before the end date do not continue to earn afterwards.
If we find referrals were obtained in breach of the promotion rules above, we may withhold commission on those referrals and end the partnership immediately.
The relationship
You are an independent contractor, not an employee, agent or partner of Onyx in the legal sense, and nothing here creates a partnership or joint venture. You cannot enter commitments on our behalf.
We may change these terms. If a change affects how much you earn or when you are paid, we will tell you at least 30 days beforehand, and it will not apply retrospectively to commission already earned.
Liability and law
Nothing here limits rights that cannot be excluded under the Australian Consumer Law. Subject to that, our total liability to you under this agreement is limited to the commission payable to you in the twelve months before the claim.
These terms are governed by the laws of Australia.
